These Terms of Service ("Terms") govern your access to and use of the services, software, and products provided by Orion JS LLC ("Company," "we," "us," or "our"). By purchasing a plan or engaging our services, you agree to be bound by these Terms.
Orion JS LLC provides custom data engineering services, automated dashboard software (SaaS), API integrations, cloud data infrastructure, algorithmic reporting tools, and technology consulting. The specific deliverables for each engagement are defined in the applicable order form, proposal, or subscription plan selected at checkout.
Monthly subscription plans (Nebula, Orion, Constellation) are billed in advance on a recurring monthly basis via Stripe. Access to the platform is granted upon successful payment confirmation. Subscriptions auto-renew unless cancelled at least 24 hours before the next billing date.
You agree not to use our services to process unlawful data, infringe intellectual property rights, transmit malicious code, or engage in any activity that violates applicable local, state, national, or international law. Orion JS LLC reserves the right to suspend or terminate access for violations of this policy without prior notice.
All software, dashboards, algorithms, and deliverables developed by Orion JS LLC remain the intellectual property of Orion JS LLC unless a written Work-for-Hire agreement explicitly transfers ownership to the client. You receive a limited, non-exclusive, non-transferable license to use the deliverables for your business purposes.
Both parties agree to keep confidential any non-public business information disclosed during the engagement. This obligation survives termination of the agreement for a period of two (2) years.
To the maximum extent permitted by applicable law, Orion JS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the total fees paid by you in the three (3) months preceding the claim.
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any disputes shall be resolved by binding arbitration in Albuquerque, NM.
Orion JS LLC reserves the right to modify these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
